EULA - End User License Agreement

Panopreter End User Licence Agreement ("EULA")

Important: please read this license agreement carefully before using the software. This is a legally binding agreement between you (either an individual or a single entity) and panopreter.com.

You will not be able to install the software until you have read and accepted all the terms of this agreement and wish to become the licensee of the software. Acceptance shall bind you to the terms of this agreement.

The capitalized term "Software" refers to the computer program known as Panopreter, any updates, supplemental code or programs with or in connection with Panopreter, the user's manual and Help file, any components, any related media and printed materials, and any related "online" or electronic documentation.

1. Grant Of License.
You may use a trial copy of the Software without charge for the evaluation period, in order to determine whether the program meets your needs before purchasing it. Your evaluation period begins on the day you install the Software. You must pay the license fee and register your copy to continue to use the Software after the evaluation period. To pay the license fee and register your copy, you should visit www.panopreter.com or an authorized sales agent. The Software is licensed on a per-computer basis, the term of the license is perpetual. You must purchase a license for each separate computer on which the Software is used or accessed. When you purchase a license, You agree that you shall install and use the Software on only one computer for each purchased copy of the Software.

2. Restrictions On Use.
The Software is the intellectual property of Panopreter Software and is protected by U.S. and international copyright laws and treaties, as well as other intellectual property laws and treaties. You will not remove or alter any copyright or other notices or legends on any copies of the Software or portion thereof. This Agreement does not grant You any rights in connection with any trademarks or service marks of Panopreter. You will not: disclose, modify, decompile, translate, disassemble, or otherwise reverse engineer the Software or any part thereof. The Software may not be transferred, leased, assigned, or sublicensed in whole or in part.

3. Confidentiality.
You recognize that the Software, and all data and materials provided with the Software, are owned by Panopreter.com. You agree not to disclose, or permit any third party or entity access to, such Confidential Information without prior written permission of the Company.

4. Export.
The Software, including technical data, is subject to U.S. export control laws, including the U.S. Export Administration Act and its associated regulations, and may be subject to export or import regulations in other countries. You agree to comply strictly with all such regulations and acknowledges that it has the responsibility to obtain licenses to export, re-export, or import Software.

5. Termination.
This Agreement shall be effective from the date You accept this Agreement until terminated. The agreement and license will automatically terminate if You fail to comply with any provisions in this agreement. This agreement shall also terminate on the date You cease Using the Software voluntarily. Upon termination, You agree to fully and permanently cease all Use of the Software and delete all copies of the Software (including backup copies) and all of its component parts from the computer (computers).

6. Disclaimer Of Warranties.
The software is licensed "as is," and you are assuming all risk as to its quality and performance. Panopreter disclaims all warranties, express or implied, with respect to the software, including but not limited to condition, conformity to any representation or description, compatibility with all hardware and software configurations, the existence of any latent or patent defects, negligence, and the warranties of title, non-infringement, merchantability, and fitness for a particular use or purpose. Further, you acknowledge and agree that (1) panopreter does not make any warranty that the software and documentation are without defect or error, or that all product errors will be corrected; and (2) panopreter does not make any warranty as to any results that may be obtained by use of the software.

7. Limitation Of Liability.
You agree that in no event shall panopreter (including without limitation, its directors, officers, employees) be liable to you or any other person, firm, corporation, or entity whatsoever for: losses, damages including without limitation indirect, special, incidental, or consequential damages (including without limitation lost profits, lost revenues, lost business, savings, loss of data, and costs of recreating lost data), claims, penalties, costs, or expenses including without limitation, loss of profits, loss of customers, loss of goodwill, work stoppage, data loss, computer failure or malfunction, or any and all other similar damages or loss including cover and reliance, arising out of or relating to your use of or inability to use the software, in any way, including but not limited to any delay, inaccuracies, errors, or omissions and whether occasioned by any cause whatsoever, whether resulting from negligence or otherwise even if panopreter has been advised of the possibility of such damages.

8. Indemnity.
You agree to indemnify, hold harmless and defend PANOPRETER from and against all losses, damages, expenses, and costs (including reasonable costs and attorneys' fees) based upon any claim or action arising from the Use of the Software provided to You, or the alleged or actual breach of any of Your obligations under this Agreement.

9. Governing Law.
This Agreement will be governed by and construed in accordance with, the laws of United States of America, without regard to conflict of law rules.

10. Entire Agreement.
Your clicking "I accept the agreement" below or accessing the Product or any portion thereof acknowledges that you have read and understood this Agreement, and that you agree to be bound by its terms and restrictions.
